A separate company. The standard vehicle in Singapore.

Private limited company

The most common structure for founders and international businesses: a separate legal entity that can be fully foreign-owned, suited to trading, raising investment or running a Singapore subsidiary.

Ownership
One or more shareholders and 100% foreign ownership is permitted. Shareholders may be individuals or companies.
Local presence
At least one director ordinarily resident in Singapore is required, along with a company secretary and a Singapore registered office.
Liability
A separate legal entity. Shareholder liability is generally limited to unpaid amounts on shares; directors have statutory duties.
Ongoing records
Annual return to ACRA, an AGM or approved exemption, financial statements and Corporate Income Tax filings (ECI and Form C-S/C).

A resident director and company secretary are legal requirements.

A Singapore company must maintain at least one director ordinarily resident in Singapore, a qualified company secretary and a Singapore registered office. Nominee arrangements carry responsibilities. Corporate Income Tax and, where applicable, GST registration apply.

Corporate secretary, registered office, accounting, tax and annual filings are separate commitments. Inclusions and renewals should be agreed in writing.

    Define the brief

    Activity, ownership, the resident-director arrangement and funding plans establish the scope.

    Prepare the record

    Reserve the company name with ACRA, agree the constitution, shareholders, directors, secretary and registered office.

  3. 03

    Meet local requirements

    Confirm a Singapore-resident director, appoint a company secretary and complete identity and KYC checks.

  4. 04

    Incorporate with ACRA

    File through BizFile. On approval, the company registration (UEN) is issued, usually quickly once information is complete.

  5. 05

    Plan the first year

    Arrange banking, assess GST, and record Corporate Income Tax and annual filing dates.

Timing is confirmed after reviewing your documents and requirements. Incorporation, tax registration and bank approval are separate processes.

Your first filing is only the beginning.

A Singapore company has annual and tax obligations after incorporation. Put the recurring dates on the record from day one.

Annual Return (ACRA)

After the FYE and AGM

Hold an AGM or rely on an approved exemption, then file the annual return via BizFile within the set period.

Corporate Income Tax

ECI within 3 months; Form C-S/C by 30 Nov

File Estimated Chargeable Income after the year-end and the annual tax return with IRAS.

GST returns

Usually quarterly

For GST-registered businesses. Registration is generally mandatory once taxable turnover exceeds S$1 million.

Ongoing

Maintain the Register of Registrable Controllers (RORC), statutory registers and proper accounting records.

Indicative private-limited-company obligations, not an individual filing calendar. First-year, dormant-company and exemption rules can apply, and requirements can change.
