At least one shareholder and one director. The same person can hold both roles.
Liability
Shareholders’ liability is generally limited to any unpaid amount on their shares. Personal guarantees and director duties still matter.
Tax position
The company generally pays Corporation Tax on taxable profits. Salary and dividends have separate tax consequences.
Ongoing records
Annual accounts, a confirmation statement, company records and applicable HMRC returns.

    Record filing dates, responsibilities and the ongoing services you have agreed.

Timing is confirmed after reviewing your documents and requirements. Company registration, tax registration and bank approval are separate processes.

05Beyond the certificate

Your first filing is only the beginning.

A UK limited company has responsibilities even after incorporation. Put the recurring dates on the record from day one.

Confirmation statement

At least every 12 months

File within 14 days of the end of the review period. Changes may also require separate filings.

Annual accounts

Usually 9 months after year-end

First accounts are usually due 21 months after incorporation. Check your company’s actual deadline.

Corporation Tax payment

Usually 9 months + 1 day

Measured from the end of the tax accounting period. Large-company instalment rules can differ.

Company Tax Return

12 months after the tax period

This is separate from the payment deadline. VAT and payroll add their own obligations where applicable.

Indicative private limited company deadlines, not an individual filing calendar. First-year, dormant-company and other exceptions can apply. LLP obligations differ.
