What is a BOI Report?

The Beneficial Ownership Information (BOI) Report is a federal filing to the Financial Crimes Enforcement Network (FinCEN) under the Corporate Transparency Act (CTA).

Important update: under FinCEN's final rule published on 14 August 2026, all domestic US companies (and US persons) are permanently exempt from BOI reporting — no domestic LLC or corporation needs to file an initial, updated or corrected report. FinCEN is also removing previously submitted data on US persons and domestic entities.

Reporting now applies only to "foreign reporting companies" — entities formed under the law of a foreign country that have registered to do business in a US state or tribal jurisdiction. Even then, they do not have to report the information of any US-person beneficial owner or company applicant; they report the company's own details and their non-US beneficial owners.

Foreign-formed entities registered to do business in the US

Foreign entities only

Companies formed abroad that register to do business in a US state must file. Domestic US LLCs and corporations are exempt.

US owners excluded

A foreign reporting company does not report the BOI of any US-person beneficial owner or company applicant.

Deadline for new registrations

A newly registered foreign reporting company generally files within 30 days of its US registration taking effect.
