Overview

What is an LLC?

A Limited Liability Company (LLC) is a hybrid business structure that combines the liability protection of a corporation with the tax benefits and operational flexibility of a partnership. Established under state law, an LLC creates a legal separation between the business and its owners (called "members"), protecting personal assets from business debts and lawsuits.

The LLC structure has become the most popular choice for small businesses, startups, and international entrepreneurs forming US companies. According to the IRS, over 35 million LLCs are registered in the United States, with hundreds of thousands of new formations each year.

Unlike corporations, LLCs are not required to hold annual meetings, maintain extensive corporate records, or follow rigid management structures. This flexibility, combined with "pass-through" taxation, makes LLCs an attractive option for business owners who want simplicity without sacrificing legal protection.

Benefits

Why Form an LLC?

Key advantages that make LLCs the preferred choice for modern businesses

Personal Asset Protection

Your personal assets (home, car, savings) are protected from business debts and lawsuits. Creditors can only pursue LLC assets, not your personal wealth.

Tax Flexibility

LLCs enjoy "pass-through" taxation by default, avoiding double taxation. You can also elect to be taxed as an S-Corp or C-Corp for potential tax savings.

Management Flexibility

Choose between member-managed or manager-managed structures. No required board meetings, shareholder votes, or complex corporate formalities.

Minimal Compliance

Less paperwork than corporations. No required annual meetings, board resolutions, or detailed minute-keeping in most states.

Credibility & Trust

An LLC designation adds legitimacy to your business. Banks, vendors, and clients take your business more seriously with proper legal structure.

Business Banking & Credit

Open business bank accounts, apply for business credit cards, and build business credit separate from your personal credit history.

Tax Information

LLC Taxation Overview

Understanding your tax options

By default, single-member LLCs are taxed as sole proprietorships, and multi-member LLCs are taxed as partnerships. This "pass-through" taxation means profits flow directly to members' personal tax returns, avoiding the double taxation faced by C-Corporations. However, LLCs have flexibility to elect different tax treatment:

Default (Disregarded Entity / Partnership)

Profits pass through to personal tax returns. Simple filing, no corporate tax.

Best for: Most small businesses and startups

S-Corporation Election

Can reduce self-employment taxes by splitting income between salary and distributions.

Best for: Profitable businesses with $50K+ net income

C-Corporation Election

Corporate tax rates (21%) may be beneficial. Allows reinvestment at lower rates.

Best for: High-growth businesses planning to raise capital
